📝 What Is an Expression of Interest When Buying a Business?

When a buyer is genuinely interested in a business, they may submit an Expression of Interest (EOI)Â outlining their proposed terms.
An EOI commonly includes the purchase price, deposit, finance conditions, due diligence period, settlement timeframe, stock/SAV, lease requirements and handover arrangements.
For sellers, it provides a clearer picture of the buyer’s offer and readiness to proceed. The seller can consider the proposal, negotiate the terms or decline it.
An EOI is generally used as a step toward negotiating a formal Contract of Sale. Its legal effect depends on how it is drafted, so independent legal advice is recommended.
At Vantage Business Brokers, we help buyers and sellers navigate the process professionally and confidentially.

Businesses. People. Possibilities.
